Terms and Conditions of Use

1. Introduction

Welcome to Bizzmakr, a freelance service platform connecting clients (“Seeking Freelancers”) with independent professionals (“Freelancers”) for digital tasks and services.

These Terms and Conditions govern your access to and use of the Bizzmakr website, mobile application, and any related content, functionality, or services offered on or through www.bizzmakr.com or the Bizzmakr mobile application (collectively referred to as the “Platform”).

The Platform is operated and managed by Bizzmakr (“we,” “us,” or “our”), registered in Bangladesh with its principal office at House#197, Smith Road, Puratan Kasha, Jashore, Bangladesh. In these Terms, “you” or “user” refers to any individual or entity accessing or using the Platform.

By accessing or using the Platform, opening an account, or by clicking to accept or agree to these Terms and Conditions when prompted, you acknowledge that you have read, understood, and agree to be bound by these Terms on behalf of yourself or, if applicable, your employer or another legal entity you represent.

If you do not agree with these Terms, you must not use the Platform.

These Terms comply with the Cyber Security Act 2023 and the Data Protection Bill 2023 of Bangladesh and are supplemented by any service-specific terms, policies, or guidelines applicable to certain features or services on the Platform.

2. Acceptance of Terms

Please read these Terms and Conditions thoroughly and carefully. These Terms, together with our Privacy Policy, Refund Policy, and any additional platform guidelines, form a legally binding agreement between Bizzmakr (“we,” “us,” or “our”) and you or the user (as defined in the Definitions section).

By registering for an account, accessing, or using the Bizzmakr website, mobile application, or any related services (collectively referred to as the “Platform”), you confirm that:

  1. You have read, understood, and agree to be bound by these Terms and all referenced policies.
  2. You are at least 18 years old and legally competent to enter into a binding and enforceable contract under applicable laws.
  3. You are either a Seeking Freelancer (client) or a Freelancer (service provider) using the Platform for legitimate purposes.
  4. You authorize the processing of payments, refunds, withdrawals, and other transactions in accordance with these Terms.

Your use of the Platform constitutes your explicit consent to comply with these Terms and all applicable laws, regulations, and guidelines, including the Cyber Security Act 2023 and the Data Protection Bill 2023 of Bangladesh.

Obligation to Comply

  • If you do not agree to these Terms, you must stop using the Platform immediately.
  • Continued use after updates will be deemed acceptance of the revised Terms.
  • Failure to comply with these Terms may result in account suspension or termination, freezing of wallet funds and pending transactions, and denial of access to services without prior notice.

3. Definitions

For the purposes of these Terms and Conditions:

  • Seeking Freelancer – A registered user who posts, requests, and pays for services through the Platform (also referred to as “client”).
  • Freelancer – A registered user who offers and delivers services through the Platform in exchange for payment (also referred to as “service provider”).
  • User – Any individual or legal entity that accesses, uses, or registers on the Platform, including both Seeking Freelancers and Freelancers.
  • Wallet – The digital balance feature within a user’s account used to hold, manage, and transfer funds in accordance with these Terms.
  • Escrow – A secure holding system within the Platform where funds from the Seeking Freelancer are stored until the agreed service is completed, approved, or canceled in accordance with our policies.
  • Dispute – A formal process initiated by a Seeking Freelancer or Freelancer to address disagreements related to a service, transaction, or refund request, as outlined in our Dispute Resolution process.
  • Platform – The Bizzmakr website, mobile application, and all related content, functionality, and services.
  • Policies – Collectively refers to these Terms and Conditions, the Privacy Policy, Refund Policy, and any service-specific guidelines published by Bizzmakr.

4. Representations and Warranties

By registering, accessing, or using the Bizzmakr Platform, you represent and warrant that:

  1. You are at least 18 years old and legally competent to enter into a binding and enforceable contract under applicable laws.
  2. You are not subject to any economic sanctions, trade restrictions, or prohibitions imposed by Bangladesh, the United States, the European Union, or any other applicable jurisdiction.
  3. You are using the Platform in compliance with all applicable laws, regulations, and industry standards in your jurisdiction.
  4. All information you provide during registration and use of the Platform is truthful, accurate, and complete, and you will maintain its accuracy at all times.
  5. You have the legal right and authority to offer or request services, enter into transactions, and fulfill your obligations under these Terms.
  6. You will not use the Platform to engage in any illegal, harmful, or fraudulent activities, or in any actions prohibited under these Terms and Conditions.

If you do not meet all of these requirements, you must not register for, access, or use the Platform.

5. Overview

  • Only registered users may post, request, or deliver services on Bizzmakr. When registering for an account, you must:
  • Be at least 18 years old and legally competent to enter into a binding contract.
  • Provide accurate, complete, and up-to-date information about yourself or your business.
  • Keep your account details updated without undue delay.
  • Not create an account for fraudulent, misleading, or unlawful purposes.
  • Not share your login credentials with others or allow unauthorized access to your account.
  • You are solely responsible for all activities that occur under your account and for maintaining the confidentiality and security of your password. Bizzmakr is not liable for any loss or damage resulting from unauthorized account access caused by your negligence.
  • Freelancers must fulfill accepted projects or orders and may not cancel without valid cause. Repeated or unjustified cancellations can result in penalties, reduced visibility, or permanent account suspension.
  • Seeking Freelancers and Freelancers must not offer or accept payment outside the Bizzmakr Platform. All transactions must be processed through the Bizzmakr Wallet and Escrow system.
  • Unless otherwise agreed in writing between the Seeking Freelancer and the Freelancer, the Seeking Freelancer is granted full rights to the delivered work upon payment release, subject to the provisions and intellectual property rights in these Terms and Conditions.
  • Freelancers operate as independent contractors. Seeking Freelancers may not exercise direct control over how a Freelancer performs their work beyond what is necessary to define the scope, requirements, and deadlines of the project.
  • Bizzmakr retains the right to use publicly available delivered work, which the Seeking Freelancer has agreed to publish, for marketing, promotional, or operational purposes, subject to our Privacy Policy.

6. Refunds

Refunds are processed in accordance with the Bizzmakr Refund Policy. Key terms include:

  • Refund requests made within 24 hours of payment are reviewed and approved by the support team within 48 hours.
  • Refund requests made after 24 hours are subject to manual review. Decisions may take 48 hours or longer, depending on the complexity of the case.
  • Approved refund amounts first appear in the In Progress section of the user’s Wallet and are later moved to Available Balance after processing.
  • The service charge is non-refundable, and additional administrative or transaction fees may apply.
  • Users must fully cooperate during dispute and refund investigations. Failure to respond or delays in providing requested information may result in administrative penalties.

7. Taxes

  • User Responsibility: All users are solely responsible for determining and fulfilling their own tax obligations, including but not limited to income tax, value-added tax (VAT), goods and services tax (GST), or any other applicable taxes based on their residency, location, or applicable laws. Bizzmakr does not provide tax advice, and users are encouraged to consult with a qualified tax advisor to ensure compliance.
  • Tax Withholding and Collection: Bizzmakr may be legally required by applicable laws to collect or withhold certain taxes on transactions conducted through the Platform. This includes, where required by Bangladeshi law, deducting applicable VAT from payments to Freelancers and remitting such amounts to the appropriate tax authority, with the deduction reflected in the Freelancer’s transaction statement. Any taxes Bizzmakr is required to collect will be added to the purchase amount payable by the Seeking Freelancer, and any taxes Bizzmakr is required to withhold will be deducted from the Freelancer’s earnings before disbursement.
  • Displayed Taxes: Where required by law, indirect taxes (such as VAT, GST, or sales tax) will be displayed to the Seeking Freelancer before payment is confirmed.
  • Earnings and Pricing: Freelancers must ensure that any prices they list for services on the Platform are inclusive of all applicable taxes and charges they are responsible for. Freelancers represent and warrant that they comply, and will continue to comply, with all income tax and indirect tax obligations in their jurisdiction.
  • Bizzmakr’s Role: Bizzmakr acts only as an intermediary for payment processing between the Seeking Freelancer and the Freelancer. Except where legally required to withhold or remit taxes, Bizzmakr is not responsible for the tax liabilities of any user.

8. Jobs and Packages

8.1 Content and Service Compliance

Jobs, packages, or user profiles may be removed, suspended, or restricted by Bizzmakr for violations of these Terms and Conditions, which may include (but are not limited to):

  • Offering illegal, fraudulent, or prohibited services.
  • Copyright infringement, trademark infringement, or violation of third-party rights.
  • Adult-oriented, pornographic, obscene, or otherwise inappropriate content.
  • Intentional duplication of job listings or packages.
  • Spam, misleading, deceptive, violent, or harmful listings.
  • Reselling regulated or restricted goods or services.
  • Offering to prepare academic works on behalf of clients.
  • Poor-quality services or deliveries that fail to meet the described standard.
  • Any promotional activity that violates laws, regulations, or third-party terms of service, or damages Bizzmakr’s reputation or relationships with users or partners.
  • Including links or URLs that promote content violating these Terms.
  • Statements in job or package descriptions that undermine or circumvent these Terms and Conditions.
8.2 Quality and Accuracy
  • All jobs and packages must have an appropriate image, description, and pricing that accurately represent the service being offered.
  • Freelancers must deliver work consistent with the quality and scope shown in their listings. Repeated failure to meet these standards may result in account penalties, reduced visibility, or permanent suspension.
8.3 Termination or Suspension of Jobs and Accounts

Bizzmakr may, at its sole discretion and without prior notice, suspend or terminate your ability to offer or purchase jobs and packages, and may restrict or terminate your account entirely, for reasons including but not limited to:

  • Violation of these Terms and Conditions, applicable laws, or regulatory requirements.
  • Misuse of services, including fraudulent, illegal, or abusive activity, or attempts to manipulate payment systems or security measures.
  • Failure to pay for services, unresolved disputes, or chargebacks related to transactions on the Platform.
  • Legal or regulatory requirements, or directives from relevant authorities, including but not limited to the Bangladesh Bank, that require us to limit, suspend, or terminate access.
8.4 Effect of Termination

Upon suspension or termination, Bizzmakr may:

  • Immediately deactivate your account and restrict access to the Platform.
  • Freeze funds in transit or pending transactions, subject to legal requirements and internal policies.
  • Initiate refunds where applicable.
  • Take legal action where required to protect the Platform, its users, and third parties.

9. Freelancers

9.1 Dispute Information and Review

Freelancers may provide additional information and attach relevant files to support their position in the event of a dispute. This information will be reviewed by Bizzmakr’s mediation team when resolving the matter. Users are encouraged to submit clear and complete evidence, including communication records and work files, to assist in the resolution process.

9.2 Milestones and Payments
  • If the Seeking Freelancer does not fund the next milestone payment within 72 hours of accepting the previous milestone, work on the next milestone may be paused until payment is made.
  • Bizzmakr reserves the right to mark a milestone as complete if no acceptance or request for modification is submitted within 72 hours after the Freelancer submits the delivery. However, in such cases, subsequent milestones may not begin until confirmed and funded by the Seeking Freelancer.
  • Payment for completed milestones may be released to the Freelancer in accordance with the Wallet and Escrow rules in these Terms.
9.3 Physical Deliverables
  • Bizzmakr is a digital services platform and does not handle or guarantee the shipping, tracking, quality, or condition of any physical items sent outside the Platform.
  • If a project involves physical delivery, the Freelancer is solely responsible for packaging, shipping, and ensuring the quality of the item.
  • Freelancers are encouraged to provide tracking information for shipped items to reduce disputes related to delivery.
  • Bizzmakr is not liable for any loss, damage, delays, or disputes arising from physical deliveries.

10. Seeking Freelancers

10.1 Payment and Transactions
  • All payments to Freelancers must be made exclusively through the Bizzmakr Platform using approved payment methods.
  • You may not offer or accept direct payments outside the Platform. If a Freelancer requests an alternative payment method, you must report it to Bizzmakr Support immediately.
  • Funds used for orders must come from legal sources and must not be connected, directly or indirectly, to any unlawful or fraudulent activities.
10.2 Orders and Milestones
  • An order is marked as complete after the Freelancer submits the delivery and you accept it. If you do not accept or request modifications within 72 hours of submission, Bizzmakr reserves the right to mark the order as complete.
  • For milestone-based projects, a milestone is marked as complete after the Freelancer submits the delivery and you accept it. If no acceptance or modification request is submitted within 72 hours, Bizzmakr reserves the right to mark the milestone as complete, and subsequent milestones may not start until confirmed and funded by you.
  • If you do not fund the next milestone within 72 hours of accepting the previous one, work on the next milestone may be paused or not started.
  • If you choose to stop future milestones, Bizzmakr reserves the right to not cancel the current milestone in progress once it is submitted and accepted.
10.3 Local and On-Site Services
  • Certain services may require in-person meetings or on-site work. In such cases, Bizzmakr does not guarantee the behavior, conduct, safety, suitability, or ability of either party.
  • If work is performed on your premises, you are encouraged to maintain appropriate insurance coverage for liability.
  • All Terms and Conditions remain applicable to work performed outside the digital Platform, including restrictions on unlawful use, inappropriate behavior, and abuse.
10.4 Order Handling
  • Freelancers are required to meet the delivery timelines they specify when accepting a project. Delays may entitle you to request cancellation if the order is late without valid reason.
  • Freelancers must submit completed files and/or proof of work when delivering a project. Using the submit option without completing the work may result in cancellation and penalties.
  • You are responsible for scanning all received files for viruses or malware. Bizzmakr is not liable for damages caused by downloaded files.
10.5 Prohibited Conduct by Seeking Freelancers

You must not:

  • Commit to purchasing or using a service without paying.
  • Solicit or negotiate for services with no intention of following through with payment.
  • Agree to purchase a service when you do not meet the Freelancer’s stated requirements or with the intention of disrupting the project.
  • Misuse any options or tools provided by Bizzmakr to manipulate or disrupt orders.
10.6 Sanctions for Violations

If you violate these rules, Bizzmakr may, at its sole discretion:

  • Cancel the order.
  • Limit your account privileges.
  • Suspend or terminate your account.

11. User Conduct and Protection

11.1 Community Standards

Bizzmakr is a professional platform that connects users worldwide to collaborate on freelance projects. All users are expected to maintain a respectful, professional, and community-focused environment while interacting on the Platform.

You must not:

  • Request or provide personal contact details (such as email addresses, phone numbers, or third-party messaging IDs) for the purpose of circumventing or abusing the Bizzmakr Platform.
  • Communicate outside the Platform for the purpose of avoiding platform fees or bypassing platform policies.
  • Engage in rude, abusive, threatening, or discriminatory behavior based on gender, race, religion, age, sexual orientation, or any other personal attribute.
  • Spam, solicit, or harass other users to cancel orders.
  • Intentionally harm another user’s reputation or disrupt competing services.

Any necessary exchange of personal information required to complete a project must occur through the Platform’s secure communication tools.

11.2 File and Communication Policy
  • All file transfers and communications related to a project must take place through the Platform.
  • Users are responsible for scanning any transferred files for viruses or malware. Bizzmakr is not liable for damages resulting from malicious files.
  • Bizzmakr does not guarantee the level or quality of service delivered by any user. If parties cannot resolve a disagreement between themselves and request Bizzmakr’s involvement, Bizzmakr may assist in facilitating a resolution in accordance with these Terms and Conditions.
  • Bizzmakr does not protect or mediate for work performed outside the Platform.
11.3 Intellectual Property and Submitted Content
  • You are solely responsible for the content you upload, post, or share on the Platform (“Submitted Content”) and for the consequences of posting or publishing it.
  • By submitting content, you affirm and warrant that:
  • You own or have the necessary licenses, rights, consents, and permissions to use and authorize Bizzmakr to use all intellectual property rights in the content.
  • You have obtained all necessary permissions from identifiable individuals appearing in your content.
  • Your content does not infringe on the rights of any third party.
  • You agree to pay all royalties, fees, and other amounts owed to any person as a result of your submitted content.
11.4 Copyright and Trademark Infringement – Takedown Procedure

Bizzmakr respects intellectual property rights and may terminate or restrict access for users who repeatedly infringe on such rights.

If you believe your copyrighted or trademarked work has been used on the Platform without authorization, you must provide a written notice containing:

  1. Identification of the copyrighted or trademarked work claimed to have been infringed.
  2. Identification of the infringing material and information to locate it on the Platform.
  3. A statement of good faith belief that the use is not authorized by the rights owner, agent, or the law.
  4. Your contact information, including address, phone number, and email.
  5. An electronic or physical signature of the person authorized to act on behalf of the rights owner.
  6. A statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the rights owner.

Only the intellectual property rights owner or their authorized representative may file such a report. Reports should be sent to support@bizzmakr.com. Bizzmakr will review and address these notices in accordance with applicable law and internal policy.

12. Reporting Violations

12.1 Reporting Misconduct

If you encounter content, activity, or behavior that you believe violates these Terms and Conditions or Bizzmakr’s community standards, you should report it to us through the designated reporting channels provided on the Platform. All reports are reviewed by Bizzmakr’s compliance and trust team.

  • Our decisions may rely on the information you provide during the investigation.
  • To protect privacy, Bizzmakr reserves the right to not share the details or outcome of our investigation with any party except as required by law.
  • Misuse of the reporting system, including false or malicious reports, may result in account restrictions or permanent suspension.
12.2 Consequences of Violations

Bizzmakr may issue warnings, restrict account functionality, suspend accounts, or permanently disable accounts for violations of these Terms.

  • Warnings may be issued for minor infractions and will be sent to the user’s registered email, as an in-app notification, or both.
  • Serious or repeated violations can result in the removal of job listings, packages, or services, loss of eligibility for platform features, or permanent account closure.
  • If action is taken against a user’s account, Bizzmakr will send an email, an in-app notification, or both, explaining the reason and the user’s options to request a review.
12.3 Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations.
  • Post false, misleading, infringing, obscene, defamatory, abusive, or harmful content.
  • Solicit or accept payment outside the Bizzmakr Platform.
  • Access or attempt to access any part of the Platform through automated means (such as scripts, bots, or web crawlers).
  • Interfere with or disrupt the Platform, servers, or networks connected to it.
  • Reproduce, distribute, license, or create derivative works from any part of the Platform without written permission from Bizzmakr.
  • Hack into, scan, or probe the Platform’s systems for vulnerabilities.
  • Upload or distribute malware, viruses, chain letters, pyramid schemes, or unsolicited bulk messages (spam).
  • Collect or process other users’ personal data except as permitted by applicable data protection law and these Terms.
  • Misrepresent your identity or create multiple accounts to evade enforcement, harass users, or gain unfair advantage.
  • Engage in targeted abuse or harassment toward any user, including creating new accounts to bypass restrictions.
  • Buy, sell, or transfer Bizzmakr accounts.
12.4 Enforcement Rights

Bizzmakr reserves the right to block, remove, edit, or refuse to post any content that violates these Terms and Conditions, and to take any additional actions deemed necessary to prevent or remedy a breach. If you become aware of prohibited content or behavior on the Platform, notify us immediately at support@bizzmakr.com.

13. Disputes and Cancellations

Bizzmakr encourages all Seeking Freelancers and Freelancers to first attempt to resolve any disagreements or issues directly with each other through clear and respectful communication on the Platform.

If the parties are unable to reach a resolution on their own, either party may request Bizzmakr’s involvement. Our mediation team may then assist in facilitating a resolution in accordance with these Terms and Conditions.

Any cancellation of an order or milestone must follow the procedures outlined in our Refund Policy. Bizzmakr reserves the right to review the circumstances of the dispute or cancellation before making a final decision.

14. Content Moderation, Notices, and Appeals

14.1 Content Monitoring

Bizzmakr is not obligated to proactively monitor content posted by users for legality or compliance with these Terms and Conditions. However, Bizzmakr reserves the right to conduct voluntary reviews at its discretion to identify and address illegal, harmful, or non-compliant content, and to take any action deemed necessary, including removal of such content, restriction of account access, or other enforcement measures.

14.2 User Notifications and Appeals

If Bizzmakr takes action regarding you, your account, or your content, you will be notified through your registered email, an in-app notification, or both. You may file a complaint or appeal if you believe the action was taken in error.

  • Appeals must be submitted within thirty (30) days of the notification.
  • Appeals can be submitted to support@bizzmakr.com, including a clear explanation of why you believe the decision should be reversed.

Bizzmakr will review appeals in a timely, non-discriminatory, diligent, and objective manner. If it is determined that the decision was made in error, the decision will be reversed.

  • Misuse of the appeals process, including repeated false or bad-faith appeals, may result in account restrictions or permanent suspension.
14.3 Statute of Limitations

Any permissible cause of action arising out of or related to the Platform must commence within thirty (30) days after the cause of action accrues. Otherwise, such cause of action will be permanently barred.

15. Proprietary Restrictions

15.1 Ownership of the Platform

The Bizzmakr Platform, including its features, general layout, design, content, software, and all intellectual property rights associated with it, are exclusively owned by Bizzmakr or licensed to Bizzmakr by third-party rights holders. This includes, without limitation, all trademarks, service marks, logos, trade names, copyrights, designs, graphics, and other proprietary materials.

Except for the limited right to use the Platform in accordance with these Terms and Conditions, you acknowledge that you have no ownership rights or licenses in or to the Platform or its contents. All rights not expressly granted are reserved.

15.2 Restrictions on Use

You agree not to, and not to permit or authorize others to:

  • Copy, reproduce, adapt, modify, distribute, transmit, display, publish, or create derivative works from any part of the Platform without Bizzmakr’s prior written consent.
  • Use the Platform or any content to develop or build similar or competitive products, features, or services.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, algorithms, structure, or organization of the Platform.
  • Remove, obscure, or alter any copyright, trademark, or other proprietary rights notices.
  • Use bots, automation tools, scripts, or any unauthorized software to access or interact with the Platform.
  • Introduce viruses, malware, worms, or other malicious or harmful code into the Platform.
  • Circumvent, disable, or interfere with any security features, access controls, or content protection mechanisms of the Platform.
  • Systematically retrieve data or content to create a database, compilation, or directory without Bizzmakr’s written permission.
  • Engage in excessive traffic generation, denial of service attacks, or any action that may damage, disable, or impair the Platform or its users’ experience.
15.3 Intellectual Property Enforcement

Any unauthorized use, reproduction, or modification of Bizzmakr’s name, logos, trademarks, or any component of the Platform is strictly prohibited. Bizzmakr reserves the right to take all appropriate legal action, including seeking damages, costs, and injunctive relief, against any unauthorized use or infringement.

15.4 Membership Eligibility and Account Responsibilities

Use of the Platform is only available to individuals who are at least 18 years old and capable of entering into legally binding contracts under applicable law. By creating an account, you represent and warrant that:

  • You are at least 18 years old.
  • All registration information provided is truthful, accurate, current, and complete.
  • You will maintain and update such information to remain accurate and current.

You are solely responsible for safeguarding your account credentials and for all activities conducted under your account. Unauthorized use of another user’s account, or allowing others to use your account without authorization, is strictly prohibited and may result in account termination and legal liability.

16. Freelancer Submission and Intellectual Property Protection Policy

When submitting work (including milestones, drafts, or final projects), Freelancers must take necessary steps to protect their work and intellectual property until full payment is confirmed.

16.1 Graphic Design, Video, and Photo Projects
  • All submissions must include visible watermarks to prevent unauthorized use before payment completion.
16.2 Other Projects (e.g., Websites, Code, Digital Assets)

Freelancers must provide restricted access or demo versions only until payment is confirmed. This may include:

  • Password-protecting files or environments.
  • Limiting user access permissions.
  • Using preview or demo versions instead of full deliverables.
16.3 Responsibility and Liability

If a Freelancer fails to apply appropriate protection measures (such as watermarks or restricted access) and the Seeking Freelancer uses the deliverables after a refund is processed, Bizzmakr is not liable for any misuse, loss, or unauthorized use of the work. The responsibility for securing intellectual property rests solely with the Freelancer.

17. Feedback Rights

If you provide Bizzmakr with any comments, suggestions, recommendations, ideas, questions, or other feedback regarding the Platform or any Bizzmakr products or services (collectively, “Feedback”), you acknowledge and agree that:

  • All Feedback is considered non-confidential and non-proprietary.
  • You hereby assign to Bizzmakr all right, title, and interest in and to the Feedback, including any intellectual property rights contained therein, without any attribution, compensation, or obligation to you.
  • Bizzmakr will have an exclusive, royalty-free, fully paid-up, perpetual, irrevocable, worldwide right to use, copy, modify, adapt, publish, translate, create derivative works from, distribute, and otherwise exploit the Feedback for any purpose, including developing, manufacturing, licensing, marketing, and improving Bizzmakr’s products and services.
  • Bizzmakr is under no obligation to implement, use, display, reproduce, or distribute any Feedback, and you have no right to compel such use or seek recognition if your Feedback is implemented.

18. Privacy Policy

Bizzmakr has established a Privacy Policy that explains how user information is collected, processed, stored, and shared. The Privacy Policy is incorporated by reference into these Terms and Conditions.

Your use of the Platform is governed by the Privacy Policy, and by using Bizzmakr, you acknowledge that you have read, understood, and agree to its terms.

19. Additional Policies

Your access to, use of, and participation in the Bizzmakr Platform is subject to these Terms and Conditions, as well as all applicable Bizzmakr regulations, guidelines, and additional policies that may be established from time to time. These include, without limitation, our Refund Policy, Privacy Policy, and any other restrictions or limitations published on the Platform (“Additional Policies”).

You agree to comply with all Additional Policies and your obligations under them at all times. Failure to adhere to any of the Terms and Conditions, including any referenced policies or eligibility criteria, may result in the suspension or termination of your account without prior notice, and Bizzmakr reserves the right to take legal action where necessary.

20. Member Conduct

20.1 Prohibited Activities

You may not use Bizzmakr to engage in, promote, or facilitate any of the following activities:

  • Sexual or Adult Services – Prostitution, pornography, erotic content, webcam services, or NSFW commissions.
  • Drugs and Controlled Substances – Selling or promoting illegal drugs or drug paraphernalia.
  • Violence and Extremism – Threats, terrorism, hate speech, or weapon-related services.
  • Fraud and Financial Crime – Money laundering, tax evasion, identity theft, pyramid schemes, or any other form of financial fraud.
  • Illegal Digital Services – Malware development, software piracy, DDoS tools, hacking services, or any activity designed to damage or interfere with digital systems.
  • Gambling and Betting – Promoting or developing illegal betting or casino-related systems.
  • Fake News and Misinformation – Deepfakes, impersonation, media manipulation for deceit, or knowingly spreading false information.
  • Human Trafficking or Exploitation – Any services that endanger, exploit, or abuse others, including children.
  • Copyright or Intellectual Property Infringement – Posting, distributing, selling, or delivering work without the necessary rights, licenses, or permissions.
  • Harassment or Discrimination – Targeting, threatening, or discriminating against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected categories.
  • Malicious Activities – Uploading, distributing, or transmitting viruses, malware, spyware, or any technology that is harmful to the Platform, other users, or third parties.
20.2 Prohibited Content

You must not post, upload, transmit, or share any content that:

  • Misrepresents your identity or impersonates another individual, business, or entity.
  • Contains false, misleading, defamatory, obscene, or otherwise harmful material.
  • Promotes illegal activities or violates applicable laws, regulations, or community standards.
  • Invades another person’s privacy, including collecting or publishing personal information without consent.
  • Advertises or solicits services unrelated to Bizzmakr without prior written authorization.
  • Links to or promotes external platforms, websites, or services in a way intended to circumvent Bizzmakr’s systems.
  • Encourages dangerous, harmful, or unlawful conduct.
20.3 Platform Integrity

You may not:

  • Circumvent or attempt to bypass Bizzmakr’s payment systems, escrow mechanisms, or fee structures.
  • Create multiple fake or misleading accounts, or use another person’s account without their explicit permission.
  • Use bots, automation scripts, crawlers, or other unauthorized tools to interact with the Platform.
  • Attempt to gain unauthorized access to, interfere with, or disrupt the Platform, its servers, or connected networks.
  • Post spam, bulk messages, chain letters, pyramid schemes, or other unsolicited commercial messages.
  • Engage in activities designed to manipulate search results, rankings, or visibility on the Platform.
20.4 Enforcement

Bizzmakr reserves the right, at its sole discretion, to:

  • Remove or modify any content, in full or in part, with or without notice, for any reason or no reason, including if Bizzmakr determines the content is inappropriate, unlawful, harmful, disruptive, or otherwise inconsistent with the intended use of the Platform, the Product, or the Services, or negatively impacts other users.
  • Restrict, suspend, or terminate accounts, access, or platform privileges without prior notice.
  • Report suspected violations to law enforcement authorities and cooperate with official investigations.
  • Limit messaging, posting, or other account features to prevent spam, harassment, abuse, or misuse.
  • Take any other action deemed necessary to protect the safety, integrity, and lawful use of the Platform.

21. Confidentiality

21.1 Obligations

Users may, during the course of using the Platform, receive or have access to confidential or proprietary information from other users (such as project briefs, business plans, personal data, designs, or code) solely for the purpose of completing agreed Services. You agree to:

  • Maintain all such information in strict confidence.
  • Not disclose such information to any third party without the owner’s prior consent.
  • Not use such information for any purpose other than delivering or receiving the agreed Services.
  • Not copy, reproduce, or store such information outside of what is reasonably necessary to fulfill the agreed Services.
21.2 Exceptions

Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available without breach of this Agreement.
  • Was lawfully known to you before disclosure.
  • Is independently developed without use of the confidential information.
  • Is required to be disclosed by law, court order, or regulatory request.
21.3 Platform Disclosures

Bizzmakr may disclose user information, including personal data, when:

  • Required by applicable law, regulation, court order, or legal process.
  • Necessary to comply with a request from law enforcement or a government authority.
  • Needed to enforce these Terms, including for payment collection or fraud prevention.
  • Appropriate to protect the rights, property, or safety of Bizzmakr, its users, or the public.

22. User Generated Content (UGC)

22.1 Definition

User Generated Content (“UGC”) includes any content uploaded, submitted, or created by users on the Platform, such as portfolios, work samples, deliverables, profile details, and messages.

22.2 Ownership of UGC
  • Freelancers retain ownership of the content they upload, subject to any agreements made with the Seeking Freelancer and these Terms.
  • By uploading UGC to Bizzmakr, you grant Bizzmakr a worldwide, non-exclusive, royalty-free license to host, store, display, and transmit such content solely for the purposes of operating, marketing, and improving the Platform.
22.3 User Responsibilities

By uploading or creating UGC on Bizzmakr, you confirm that:

  • You own or have the necessary rights, licenses, and permissions to use and share such content, including any third-party or AI-generated elements.
  • You have verified that any AI-generated work does not infringe intellectual property rights and complies with applicable laws and the terms of any AI tool or platform used.
  • Your content does not infringe any intellectual property, privacy, or publicity rights of others.
  • Your content complies with all applicable laws and these Terms.

You are solely responsible for your UGC and the consequences of its use, disclosure, storage, or transmission.

22.4 Prohibited Content

UGC must not:

  • Include copyrighted or trademarked material without authorization.
  • Contain false, misleading, defamatory, obscene, or illegal material.
  • Include malicious code, viruses, or other harmful elements.
22.5 Enforcement

Bizzmakr may, at its sole discretion, remove, disable, or restrict access to any UGC that violates these Terms or applicable laws. Accounts of repeat infringers may be suspended or terminated.

23. Privacy and Data Handling

Bizzmakr’s data collection, storage, and processing practices comply with the Cyber Security Act 2023 and the Data Protection Bill 2023.

  • Sensitive user data is stored on secure servers located in Bangladesh.
  • We apply industry-standard security measures, including encryption, access controls, and regular security audits, to safeguard information.
  • User data is shared only when required by law or as described in our Privacy Policy.

24. Ownership and Intellectual Property Rights

24.1 Work Delivered and Payment

Unless otherwise agreed in writing between the Seeking Freelancer and the Freelancer, the Seeking Freelancer is granted full rights to the delivered work upon payment release, subject to the provisions and intellectual property rights in these Terms and Conditions. All transfer and assignment of intellectual property are contingent upon full payment. If payment is cancelled or refunded, the Seeking Freelancer’s rights to use the delivered work are revoked.

24.2 Freelancer Content on the Platform

Content that Freelancers voluntarily upload to their profiles, portfolios, or job proposals (including texts, images, videos, and work samples) remains their property, unless otherwise assigned to a Seeking Freelancer under a project agreement. By uploading such content to Bizzmakr, Freelancers grant Bizzmakr a worldwide, non-exclusive, royalty-free, transferable license to use, display, and promote the content for operational, marketing, or promotional purposes related to the Platform. This license remains in effect indefinitely, even if the content is later removed from the Platform.

24.3 Platform Intellectual Property

All rights, title, and interest in the Bizzmakr Platform, including but not limited to its software, design, branding, logos, and trademarks, are owned or licensed by Bizzmakr. Users may not copy, reproduce, distribute, modify, reverse-engineer, or create derivative works from the Platform without prior written consent from Bizzmakr.

24.4 Technical Processing and Transmission

You acknowledge that the technical operation of the Platform, including the transmission of uploaded content, may involve (a) transmission over various networks, and (b) modifications necessary to conform to the technical requirements of connecting devices and networks.

25. Marketplace Disclaimer and Responsibility

25.1 Role of Bizzmakr

Bizzmakr is a marketplace platform that connects Seeking Freelancers (clients) with Freelancers offering their services at various rates.

  • Freelancers are solely responsible for the quality, timeliness, and completion of their work in accordance with the agreed project scope.
  • Seeking Freelancers are responsible for clearly communicating requirements and expectations before accepting proposals or placing orders.
  • Bizzmakr does not guarantee service quality or performance and is not liable for any disputes, delays, or non-performance once work has been agreed upon.
25.2 Third-Party Links and References

The Platform may display links, profiles, or references to third-party websites or resources. Bizzmakr does not warrant the quality, safety, or legality of such external sites or services. Accessing them is at your own risk, and by using the Platform you agree to waive any claims against Bizzmakr and to indemnify us for any loss or damage arising from such access.

25.3 Content Disclaimers and Removal Rights
  • Bizzmakr does not endorse any user-generated content, opinions, recommendations, or advice expressed by users.
  • We prohibit activities that infringe intellectual property rights, violate laws, or are otherwise inappropriate for the Platform. Content that is reported and found to violate our Terms may be removed without prior notice.
  • Bizzmakr may suspend or terminate accounts of users who repeatedly violate intellectual property rights or other policies.
  • We reserve the sole discretion to remove or restrict any content that we determine is illegal, infringing, harmful, obscene, defamatory, excessively long, or otherwise inconsistent with the intended use of the Platform.
25.4 User Responsibility

You are solely responsible for the content you upload, publish, or share on Bizzmakr. This includes profile information, proposals, messages, files, and any other submitted materials. You acknowledge that by using the Platform, you may encounter content from other users that is inaccurate, offensive, or objectionable, and you agree to waive any legal claims against Bizzmakr relating to such content.

26. Disclaimer of Warranties

26.1 Platform Use at Your Own Risk

Your use of the Bizzmakr Platform, its content, features, services, and any work or items obtained through the Platform is entirely at your own risk. The Platform is provided on an “as is” and “as available” basis, without any warranties of any kind—express, implied, statutory, or otherwise—except as required by applicable law.

26.2 No Guarantees or Representations

Bizzmakr makes no warranties or representations regarding:

  • The accuracy, completeness, reliability, or timeliness of any content or services.
  • Continuous, uninterrupted, or secure access to the Platform.
  • Freedom from errors, viruses, malware, or harmful components.
  • The quality, safety, or legality of work, services, or products provided by Freelancers or third parties.
26.3 Third-Party Services

Bizzmakr does not endorse or guarantee any third-party service, website, or advertisement linked through the Platform. Any transaction or interaction between you and a third party is solely between you and that third party, and you agree that Bizzmakr is not responsible or liable for any loss, damage, or dispute arising from it.

26.4 User Responsibility

You are solely responsible for evaluating and selecting Freelancers, clarifying project requirements, and determining whether any service or deliverable meets your needs. Use your best judgment and exercise caution before proceeding with any transaction.

27. Modifications to or Termination of Platform

Bizzmakr reserves the right, at any time and at its sole discretion, to modify, suspend, or discontinue the Platform—or any part of it—temporarily or permanently, with or without prior notice. You agree that Bizzmakr will not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform or its services.

28. Order Cancellation

Bizzmakr reserves the right to cancel any order, without liability, if the requested service becomes unavailable. Service unavailability may arise due to platform management issues, unforeseen circumstances, or other reasons that cannot be predetermined or predicted.

29. Machine Translation

Some user-generated content on Bizzmakr may be translated for your convenience using automated translation tools. While reasonable efforts are made to provide accurate translations, no automated translation is perfect and it is not intended to replace human translators. These translations are provided “as is” without any warranty, express or implied, regarding accuracy, reliability, or completeness.

Certain content (such as images, videos, or other media) may not be accurately translated or translated at all due to technical limitations.

The official version of the Platform is in English. Any differences or discrepancies between the translated version and the English version are not legally binding. If there is any uncertainty, the English version shall prevail.

Bizzmakr is not responsible for any errors, inaccuracies, or misunderstandings that may arise from machine translations.

30. Limitation of Liability

30.1 General Disclaimer

Your use of Bizzmakr is at your own risk. To the fullest extent permitted by law, Bizzmakr, its affiliates, officers, employees, agents, service providers, or licensors shall not be liable for any damages of any kind—direct, indirect, incidental, special, punitive, or consequential—arising out of or in connection with your use, or inability to use, the Platform, including but not limited to:

  • Service quality, delays, disputes between users, missed deadlines, or unsatisfactory outcomes of freelance tasks.
  • Direct or indirect losses resulting from services provided by freelancers.
  • Delays in withdrawals or payments due to banks, payment processors, or regulatory checks.
  • Cyberattacks, security breaches, or system failures beyond Bizzmakr’s reasonable control.
  • Intellectual property loss due to freelancers not applying protections (e.g., failing to watermark or restrict access).
  • Misuse or illegal activity by users, including non-compliance with tax or local laws.
  • Content posted, uploaded, or shared by users or third parties.
  • Platform downtime, scheduled maintenance, or technical issues.
  • Account compromise resulting from user negligence, such as weak passwords or credential sharing.
  • Misrepresentation, errors, or omissions in user-generated information, job postings, or freelancer profiles.
  • Loss of data or files, except where caused by Bizzmakr’s intentional misconduct.
  • Any indirect losses such as lost profits, business opportunities, revenue, goodwill, or data.
  • Outcomes of disputes resolved under Bizzmakr’s mediation process.
30.2 Third-Party Services and Links

Bizzmakr may provide access to third-party sites, services, or payment gateways. We do not control and are not responsible for the content, policies, or practices of third parties. Any use of third-party services is at your sole risk, and Bizzmakr disclaims liability for losses or damages arising from such use.

30.3 Aggregate Liability Cap

In no event shall Bizzmakr’s total, aggregate liability for any claim arising out of or relating to the Platform exceed the total amount of fees actually paid by you to Bizzmakr in the three (3) months preceding the event giving rise to the claim.

30.4 Force Majeure

Bizzmakr shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, government restrictions, acts of war or terrorism, strikes, power outages, or internet failures.

30.5 Waiver of Legal Action

By using the Platform, you expressly acknowledge and agree that you shall not bring any legal action, claim, or proceeding against Bizzmakr, its affiliates, employees, or agents for any matter falling under this Limitation of Liability. The risks of using the Platform, engaging freelancers, or transacting with other users rest entirely with you.

31. Deactivate and Disable Account

31.1 Voluntary Deactivation or Disablement

If you no longer wish to use Bizzmakr, you may request to deactivate or permanently disable your account by contacting our support team. Deactivation or disablement will not relieve you of any outstanding obligations, including pending payments, disputes, or compliance requirements under these Terms.

31.2 Bizzmakr’s Right to Disable Accounts

Bizzmakr reserves the right, at its sole discretion, to place an account on hold, restrict features, or permanently disable an account if:

  • You breach these Terms and Conditions.
  • You provide low-quality or fraudulent services or deliveries.
  • You engage in illegal, abusive, or inappropriate use of the Platform.
  • You fail to comply with compliance checks, dispute resolution, or refund processes.
31.3 Consequences of Account Disablement

If your account is disabled:

  • You will no longer be able to access services on the Platform.
  • Any active projects, proposal submissions, or balances may be frozen until pending matters are resolved.
  • Content, profile information, or portfolio items may be removed at Bizzmakr’s discretion.
31.4 Data and Balances After Disablement

Upon disablement, your access to the Platform, transaction history, and wallet balance may be permanently deleted or rendered inaccessible. Refunds, if applicable, will follow Bizzmakr’s Refund Policy and applicable financial regulations.

31.5 Appeals

If Bizzmakr takes action against your account, you will be notified by email, in-app notification, or both. You may request a review or appeal the decision within thirty (30) days of receiving the notice. Appeals will be handled fairly, but Bizzmakr reserves final decision-making authority.

32. Effect of Termination

32.1 Loss of Rights

Upon suspension or termination of your Account, all rights granted to you under these Terms will immediately cease. This includes, but is not limited to:

  • The right to submit proposals or hire freelancers.
  • The right to withdraw balances or receive compensation through the Platform.
  • The right to access your account, transaction history, or stored data.
  • The right to receive any special offers, promotional benefits, or other rewards.
32.2 Disabled Access

If your Account is terminated or disabled, you may no longer be able to access your account or any files, communications, or data associated with it. Residual data may remain in the Bizzmakr system for legal, compliance, or archival purposes.

32.3 Obligations Surviving Termination

Termination does not relieve you of any outstanding obligations, including:

  • Payment of pending fees or commissions.
  • Resolution of disputes or refund requests.
  • Compliance with legal and regulatory requirements.

Refunds and wallet balances will be handled strictly in accordance with Bizzmakr’s Refund Policy and Wallet System rules.

32.4 Use of Data Post-Termination

Bizzmakr may retain and use data collected from your account for compliance, dispute resolution, internal analysis, and archival purposes. Licenses you granted to Bizzmakr (such as for feedback or suggestions) will continue in effect for these purposes.

32.5 Notification

Unless your account is disabled immediately for violations, Bizzmakr will notify you via email or in-app notice regarding suspension or termination. Such termination will take effect immediately upon delivery of the notice.

32.6 Indemnification

You agree to indemnify and hold Bizzmakr, its officers, affiliates, employees, and partners harmless from any claim, demand, or liability arising out of or related to the suspension or termination of your account.

33. Rights to Suspend Funds and Transactions

33.1 Grounds for Suspension

Bizzmakr reserves the right to take immediate action without prior notice if it detects or has reasonable grounds to believe that a user is engaged in any of the following activities:

  • Fraudulent Activities – Identity fraud, payment fraud, or use of stolen payment methods.
  • Abusive Behavior – Harassment or abuse directed at freelancers, clients, or support staff.
  • System Manipulation – Exploiting bugs, loopholes, or using unauthorized bots, scripts, or automation.
  • Violation of Terms – Breach of these Terms and Conditions, including Prohibited Use.
  • Non-Cooperation – Refusal to comply during disputes, compliance checks, or verification processes.
  • Suspicious Transactions – Multiple chargebacks, disputed payments, or inconsistent payment behavior.
  • Account Misrepresentation – Fake identity, forged documents, impersonation, or false verification details.
  • Security Risks – Account hacking attempts, unauthorized access, or malware uploads.
  • Regulatory Non-Compliance – Activities violating Bangladeshi law, financial regulations, or international compliance norms.
  • High-Risk Behavior – Sharing offensive or illegal content (e.g., pornography, drugs, gambling) or engaging in terror financing/money laundering.
  • Financial Abuse – Exploiting refund, withdrawal, or promotional systems.
  • Failure to Respond – Ignoring Bizzmakr’s compliance requests or refusing to provide necessary documentation.
33.2 Immediate Actions

In such cases, Bizzmakr may take one or more of the following actions without prior notice:

  • Block transfers of funds from In-Progress Balance to Available Balance.
  • Suspend or cancel withdrawal requests, including those already in process.
  • Freeze any refund processes currently under review.
  • Halt payment releases to freelancers until resolution.
  • Restrict or block all wallet-related transactions.
33.3 Permanent Measures

If an investigation confirms prohibited activity, Bizzmakr reserves the right to:

  • Permanently withhold the funds in question.
  • Terminate the user’s account.
  • Initiate legal proceedings where necessary.
33.4 Legal Waiver

By using Bizzmakr, you agree that:

  • Bizzmakr shall not be held liable for any losses, claims, or damages arising from actions taken under this clause.
  • Users waive any right to bring legal claims or disputes against Bizzmakr for actions including suspension or withholding of funds, cancellation of withdrawals, or blocking of refunds.
  • These measures are taken in good faith for security, compliance, and fraud prevention purposes.

34. Security Features

34.1 Account Protection
  • Users are responsible for maintaining the confidentiality of their login credentials and securing their account against unauthorized access.
  • Bizzmakr may introduce optional security features (such as two-factor authentication) to help protect accounts, and users are encouraged to enable these when available.
34.2 Ownership Verification
  • If suspicious activity is detected, or if access recovery is required, users must verify account ownership through Bizzmakr Support.
  • Verification may require submission of documents or other materials that reasonably prove ownership of the account.
34.3 User Responsibility
  • Users are solely responsible for all actions taken under their account, whether by themselves or by others with or without their consent.
  • Bizzmakr shall not be liable for any loss or damage arising from unauthorized account access caused by weak passwords, credential sharing, or negligence on the part of the user.

35. Disputes

35.1 Dispute Resolution Timeline
  • Bizzmakr aims to resolve disputes within 14 days of a complaint being raised, subject to exceptional cases which may require more time.
  • If either party (Freelancer or Seeking Freelancer) fails to respond to Bizzmakr’s communication within 7 days, Bizzmakr reserves the right to close or resolve the dispute at its sole discretion.
35.2 Role of Bizzmakr
  • Bizzmakr is a marketplace platform, not a party to any service contract between users.
  • Disputes are facilitated only as a mediation process. Final responsibility for the service, payment, and outcome lies with the Freelancer and Seeking Freelancer.
35.3 Disputes Between Users
  • All interactions, proposal submissions, project agreements, payments, and deliverables are solely between users.
  • Bizzmakr does not guarantee the quality, suitability, or performance of any Freelancer or Seeking Freelancer.
  • Users are encouraged to exercise due diligence, verify credentials, and clarify requirements before engaging in projects.
35.4 Release of Liability
  • By using the platform, you agree that Bizzmakr shall not be held liable for disputes, damages, or losses arising from user-to-user interactions, whether online or offline.
  • In case of disputes, you release Bizzmakr, its officers, employees, and affiliates from all claims, demands, or damages, whether known or unknown, foreseeable or unforeseeable, disclosed or undisclosed.
35.5 Mediation Limitations
  • Any mediation or facilitation provided by Bizzmakr is purely administrative.
  • Bizzmakr does not assume the role of a legal adjudicator or regulator in disputes.

36. No Agency or Partnership

36.1 Independent Contractors
  • All users of the Bizzmakr platform, including Freelancers and Seeking Freelancers, act as independent contractors.
  • No agency, partnership, joint venture, or employment relationship is created as a result of these Terms or through the use of the platform.
36.2 No Authority to Bind
  • Users have no authority to represent, bind, or act on behalf of Bizzmakr in any capacity.
  • Bizzmakr does not direct or control the day-to-day activities, project execution, or business operations of Freelancers or Seeking Freelancers.
36.3 Platform Limitation
  • Bizzmakr provides only a marketplace platform to facilitate connections between users.
  • Any agreements, obligations, or contracts formed between Freelancers and Seeking Freelancers are strictly between those parties and do not create any obligation for Bizzmakr.
36.4 Release of Claims
  • By using the platform, you acknowledge and agree that no partnership, agency, or employment relationship exists between you and Bizzmakr.
  • You further waive any right to assert claims or liabilities against Bizzmakr on the basis of such relationships.

37. Dispute Resolution

37.1 Neutral Resolution Goal
  • If a dispute arises between you and Bizzmakr, our aim is to provide a neutral, fair, and cost-effective way to resolve the issue quickly.
  • Users are required to first contact Bizzmakr Support to attempt resolution through communication and mediation.
37.2 Disputes Over Refunds
  • If a Freelancer disagrees with a refund request, they may file a dispute within 24 hours of the issue.
  • Bizzmakr’s mediation team will review project communications, delivery records, and compliance with platform policies.
  • The decision of the Bizzmakr mediation team shall be final and binding.
37.3 Mandatory Mediation
  • All disputes must first go through mediation facilitated by Bizzmakr’s mediation team.
  • The mediation team will review communications, project records, and compliance with platform policies.

  • The outcome of arbitration shall be binding on both parties, unless appealed under applicable law.
  • If arbitration does not resolve the dispute, or if enforcement of an arbitral award is required, the matter may proceed to litigation.
  • Any legal proceedings shall occur exclusively in the courts of Jashore, Bangladesh, unless otherwise required by law.
37.5 Governing Law
  • These Terms and any disputes arising hereunder are governed by the laws of Bangladesh, including the Cyber Security Act 2023 and the Data Protection Bill 2023.

To ensure a safe and secure freelancing environment, Bizzmakr regularly monitors accounts, transactions, and project activities for fraudulent or suspicious behavior.

40.1 Rights of Bizzmakr
  • In the event of detecting suspicious activity, Bizzmakr reserves the right to cancel or suspend past, pending, or future transactions without liability.
  • Bizzmakr may also suspend or limit user accounts if fraudulent behavior is suspected.
  • Additional verification, such as identity documents or project details, may be required before processing proposals, withdrawals, or refunds.
  • Users may be contacted if part or all of their transaction, proposal submission, or withdrawal request is cancelled, or if further information is required.
  • Any promotional credits, coupons, or platform benefits used in connection with fraudulent activity will not be refunded or reinstated.
40.2 Actions Bizzmakr May Take

If a user is found engaging in fraudulent activity, Bizzmakr may, at its sole discretion:

  • Cancel the proposal, project, or transaction.
  • Suspend or limit the user’s account privileges.
  • Permanently disable the user’s account.
  • Take action in accordance with Bangladeshi laws and regulations.
  • Enforce additional measures as per company policy.
40.3 Examples of Fraudulent Activities (Non-Exhaustive List)
  • Providing false or misleading information when creating an account or submitting proposals (e.g., fake name, photo, documents, contact details).
  • Misrepresentation of skills, identity, or verification details.
  • Use of fake or stolen identity, documents, or accounts.
  • Attempting to use another user’s phone number, email, or account without authorization.
  • Exploiting promotional credits, coupons, or referral programs unfairly.
  • Using bots, scripts, or automation tools to manipulate the system.
  • Repeatedly submitting proposals or project requests under suspicious circumstances.
  • Creating multiple accounts with different identities to misuse platform services.
  • Refusing to pay legitimate service charges or attempting chargeback fraud.
  • Failing to provide required documents during compliance checks or dispute resolution.
  • Uploading false or incorrect billing details.
  • Abusing system bugs, glitches, or loopholes.
  • Sharing offensive, illegal, or restricted content in violation of platform rules or Bangladeshi law.
  • Coordinating with others to manipulate platform operations or project outcomes.

41. Additional Note on Inaccurate and/or False Billing Details

By agreeing to these Terms and Conditions, you acknowledge and accept responsibility for providing accurate and up-to-date billing and account information to Bizzmakr.

41.1 User Responsibility
  • You must promptly update any changes to your billing and account information, including but not limited to your name, address, email address, and payment details.
  • Bizzmakr shall not be held liable for any errors, losses, delays, or expenses resulting from inaccurate, outdated, or false billing and account information provided by you.
41.2 Right to Suspend or Terminate
  • Bizzmakr reserves the right to suspend, restrict, or terminate your account if it has reasonable grounds to believe that the billing or account information you provided is inaccurate, fraudulent, incomplete, or intentionally misleading.
  • Any funds, transactions, or benefits associated with such an account may be frozen or withheld pending verification.

42. Changes to These Terms

42.1 Right to Modify
  • Bizzmakr reserves the right, at its sole discretion, to amend, update, or otherwise modify these Terms and Conditions at any time.

43. Fees Incurred by Users

43.1 Free Access
  • Joining Bizzmakr, opening an account, and browsing freelancer profiles or posted projects is free of charge.
43.2 Service Fees for Seeking Freelancers (Clients)
  • Seeking Freelancers pay a 3% service charge on top of the freelancer’s project amount.
  • This service fee is non-refundable and applies to all confirmed transactions unless otherwise stated in the Refund Policy.
  • Bizzmakr reserves the right, in its sole discretion, to revise or update the 3% service fee at any time.
43.3 Commission Fees for Freelancers
  • Freelancers pay a 7% commission fee on the total project amount received.
  • This commission fee is non-refundable and applies to all completed transactions.
  • Bizzmakr reserves the right, in its sole discretion, to revise or update the 7% commission fee at any time.
43.4 Payment Method Charges
  • If the user’s chosen payment method (such as bank transfers, bKash, Nagad, Rocket, or cards) applies additional charges, those charges will also be deducted from the transaction.
  • These charges are applied by the payment provider, not Bizzmakr, and are in addition to Bizzmakr’s service fees and commissions.
43.5 Payment Obligations
  • By using Bizzmakr, you agree to pay all applicable fees and charges associated with your account and transactions.
  • If payments cannot be processed due to issues with your chosen payment method, Bizzmakr reserves the right to:
  • – Suspend or restrict access to your account.
  • – Block pending transactions until payment issues are resolved.
  • – Recover outstanding fees through alternative billing methods.
43.6 Non-Refund of Fees
  • Fees paid to Bizzmakr, including service charges, commission fees, and payment method charges, are non-refundable unless explicitly covered under the Refund Policy.
43.7 Legal Remedies
  • Bizzmakr reserves the right to initiate legal action, at its sole discretion, to recover unpaid amounts, service charges, commission fees, payment method charges, or other outstanding dues.

44. Indemnification

  • To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Bizzmakr, including its officers, directors, employees, affiliates, successors, service providers, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, or expenses (including reasonable attorneys’ fees) arising from:

  • If you have a dispute with one or more users of the platform, you release Bizzmakr and its affiliates from any and all claims, demands, or damages (actual or consequential), known or unknown, arising out of or in any way connected to such disputes.

  • This indemnification obligation will survive your use of the platform and any termination of your account.
44.4 Legal Defense
  • Bizzmakr reserves the right to assume its own legal defense strategy in any matter covered by this clause. You agree to fully cooperate with Bizzmakr in defending or settling such claims at your expense if the claim is related to your actions or omissions.

45. No Third-Party Beneficiaries

  • Except as expressly stated in these Terms, no person or entity other than you and Bizzmakr shall have any rights or remedies under these Terms.

  • Alerts are dependent on the user’s device and network availability. If the device is switched off, out of coverage, or otherwise unable to receive notifications, delivery may be delayed or unsuccessful. Bizzmakr is not liable for such delays or failures.
48.2 Service Limitations
  • Notifications and alerts are provided as an additional convenience and may be subject to errors, omissions, or inaccuracies. Users should verify any critical information directly within the Bizzmakr platform.
  • Bizzmakr shall not be liable for losses, damages, or claims arising from reliance on alerts or notifications.
48.3 Delivery Factors
  • The speed, clarity, and accuracy of notifications may depend on third-party infrastructure and connectivity. Bizzmakr is not responsible for non-delivery, delayed delivery, or distortion of messages caused by external factors.
48.4 User Responsibility and Indemnity
  • Users are responsible for providing accurate and up-to-date contact information. Providing incorrect, outdated, or third-party contact details may result in failed communications.
